  1. Registration and Profile Settings

To utilize the Service, you must register and create a profile with your name, username, password, and email address. You may choose between a private or publicly visible profile. Should you wish to be discoverable by other users, you can adjust your profile visibility in your profile settings or account settings. We reserve the right to verify the information you provide before approving your account or any changes to your account status from private to public.

  1. Password Security

You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account. You must notify InzpireU immediately if you become aware of any unauthorized use of your password or account.

  1. No Endorsement

Although publicly visible users undergo a basic verification process, it is your responsibility to ensure that any user you choose to engage with meets your requirements. InzpireU merely facilitates interactions between users and does not endorse any services offered by users. We are not responsible for the outcomes of any interactions between users.

In using the Website or Service, you must not:

- Copy or distribute any part of the Website or Service without our prior written consent.

- Modify or alter any part of the Website.

- Engage in or promote illegal activities through the Website.

- Post or transmit any content that is illegal, harmful, or offensive on the Website.

InzpireU Customer Agreement

Parties

- Customer: The entity or individual agreeing to these terms.

- InzpireU: The provider of the AI-enabled mentoring platform products.

 Authority and Acceptance

- If you are accepting on behalf of an organization, you must have the legal authority to bind that organization. By clicking “Agree,” downloading, or using the Products, you confirm your binding acceptance.

 Overview

- This agreement covers the use of InzpireU's Products, including both Cloud-based and Software Products, as well as associated support and advisory services. Some products may be governed by additional specific terms.

 Use of Products

   - 2.1 Permitted Use: Customer is granted a non-exclusive, worldwide license to use the Products for internal business purposes. This is subject to compliance with provided Documentation and defined Scope of Use.

   - 2.2 Restrictions: The customer is restricted from redistributing, sublicensing, or otherwise making the Products available as part of a commercial offering that competes with InzpireU. The customer must not reverse engineer or otherwise attempt to derive source code from the Products, unless explicitly permitted.

 Users

   - The customer may authorize Users (employees, contractors, etc.) to use the Products under the terms of this agreement. The customer is responsible for ensuring that Users comply with this agreement and must manage their access credentials securely.

 Cloud Products

   - Specific conditions and commitments apply to Cloud Products, including data processing, security measures, and service levels. These are detailed further in associated Documentation and specific policy documents.

 Software Products

   - If any Software Products are provided, the customer may use the included source code for internal development related to the Products. Conditions for modification, redistribution, and number of allowable instances are specified.

 Customer Obligations

   - The customer is responsible for ensuring that all necessary disclosures have been made and consents obtained for InzpireU to process data as needed for the provision of the Products. The customer must also ensure that the Products meet their regulatory and business requirements.

 Third-Party Code and Products

   - The agreement outlines how open source and third-party software are included within the Products. Use of Third-Party Products may be governed by separate terms and could require Customer to allow access to their data.

Support and Advisory Services

   - InzpireU agrees to provide support and advisory services according to terms laid out in the Order and relevant policy documents. This may include technical support and strategic advising related to the use of the Products.

 Ordering, Delivery, Billing, and Payment

   - Details the procedure for ordering Products, including acceptance of orders, delivery of services, billing practices, and payment responsibilities. Specifics on renewals, adjustments in scope, and refund policies are included.

 Warranties and Disclaimers

   - InzpireU provides warranties related to the performance of the Products according to the Documentation and service agreements. The Products are otherwise provided "as is," with disclaimers for certain types of warranties.

 Term and Termination

   - The term of the agreement begins upon acceptance and continues until all subscription terms end. Conditions under which the agreement or subscriptions can be terminated are detailed, along with the consequences of such termination.

 General Provisions

   - Includes miscellaneous terms such as compliance with laws, restrictions on assignment and transfer of the agreement, applicable law and jurisdiction for disputes, and the process for modifying the agreement.

We operate as a “School Official” with legitimate educational interest when partnering with educational institutions and ensure all use of student data is solely for authorized educational purposes.

These Enterprise Terms and Conditions (“Agreement”) govern access to and use of the LearnFlow platform (“LearnFlow”, “Platform”, “Service”) provided by InzpireU, Inc. (“InzpireU”, “we”, “us”, “our”).

By accessing or using LearnFlow, you agree to this Agreement. If you are acting on behalf of an organization, you represent that you have authority to bind that organization.


1. Parties & Contractual Structure

This Agreement is entered into between:

  • InzpireU, Inc., and
  • The Organization identified in the applicable Order Form or subscription agreement.

If there is a conflict between this Agreement and an Order Form, the Order Form controls.


2. Definitions (Expanded)

  • Organization – A legal entity subscribing to LearnFlow.
  • Authorized Users – Org Admins, Instructors, Learners, and other users authorized by the Organization.
  • Org Admin – User with administrative rights to manage users, programs, content, analytics, and settings.
  • Instructor – User authorized to create or manage courses or learning content.
  • Learner – User assigned to courses or programs.
  • Program – A structured learning experience with duration, milestones, and outcomes.
  • Course – A collection of instructional content, activities, or assessments.
  • Customer Content – Any content uploaded, generated, or created by or for the Organization.
  • AI Features – AI-powered tools that generate, summarize, analyze, or recommend content or insights.
  • Confidential Information – Non-public business, technical, or operational information.

3. Scope of Service

LearnFlow is a B2B learning, program, and analytics platform designed to enable organizations to:

  • Design and manage learning programs and courses
  • Assign learners and instructors
  • Generate content using AI tools
  • Track engagement, progress, deadlines, and completion
  • Generate analytics and insights
  • Issue certificates of completion
  • Publish optional public program pages

LearnFlow is program-agnostic and does not dictate pedagogy, regulatory compliance, or learning methodology.


4. Account Provisioning & Governance

4.1 Organizational Responsibility

The Organization is solely responsible for:

  • Assigning and revoking user access
  • Role designation and authorization
  • Ensuring users comply with internal policies

4.2 User Credentials

Each user must have a unique account. Credential sharing is prohibited.

4.3 Audit Rights

Upon reasonable notice, InzpireU may audit usage to confirm compliance with license terms.


5. Content Ownership & Licensing (Enterprise)

5.1 Ownership

The Organization retains all right, title, and interest in Customer Content, including AI-generated content derived from Customer Content.

5.2 License to Operate

The Organization grants InzpireU a limited, non-exclusive, non-transferable license to host, process, analyze, and display Customer Content solely to provide the Service.

5.3 No Training on Customer Data

Enterprise Clause:
Customer Content is not used to train InzpireU’s AI models or shared with other customers, except as required to provide the Service or by law.


6. AI-Specific Enterprise Disclosures

6.1 AI Assistance, Not Authority

AI-generated content and insights:

  • Are probabilistic in nature
  • May contain errors or omissions
  • Require human review before use

6.2 No Professional Advice

AI outputs do not constitute legal, medical, financial, HR, or regulatory advice.

6.3 Responsibility for Decisions

All decisions made using LearnFlow analytics or AI insights remain the responsibility of the Organization.


7. Programs, Deadlines & Certificates

7.1 Deadlines

  • Program deadlines may be auto-calculated based on assignment date and duration.
  • Course deadlines may be manually assigned by Org Admins or Instructors.

7.2 Certificates

Certificates:

  • Reflect completion based on platform-defined criteria
  • Are branded using Organization-provided name and logo
  • Do not imply accreditation unless explicitly stated by the Organization

8. Analytics, Reporting & Decision Support

LearnFlow provides analytics related to:

  • Engagement
  • Progress
  • Completion
  • Participation trends

Analytics are decision-support tools, not guarantees of performance, compliance, or outcomes.


9. Data Protection & Privacy (Enterprise)

9.1 Data Controller

The Organization is the data controller. InzpireU acts as a data processor.

9.2 Security Measures

InzpireU maintains commercially reasonable administrative, technical, and organizational safeguards, including:

  • Role-based access controls
  • Encryption in transit and at rest
  • Secure cloud infrastructure

9.3 Compliance Support

Upon request, InzpireU will provide reasonable documentation to support:

  • GDPR
  • SOC 2-aligned controls (where applicable)
  • FERPA-style protections (education use cases)

10. Confidentiality

Each party agrees to:

  • Protect Confidential Information
  • Use it solely for purposes of this Agreement
  • Restrict access to authorized personnel

Confidentiality obligations survive termination.


11. Acceptable Use (Enterprise)

The Organization and its users shall not:

  • Upload unlawful or infringing content
  • Misrepresent certifications or credentials
  • Reverse engineer or scrape the platform
  • Bypass security or analytics mechanisms

12. Service Levels & Availability

LearnFlow is provided on a commercially reasonable availability basis.

Planned maintenance may occur with notice. InzpireU does not guarantee uninterrupted or error-free service unless stated in an SLA.


13. Fees, Billing & Taxes

  • Fees are defined in the applicable Order Form
  • Fees are non-refundable unless stated otherwise
  • Organization is responsible for applicable taxes

Failure to pay may result in suspension.


14. Suspension & Termination

14.1 Suspension

InzpireU may suspend access for:

  • Security threats
  • Legal obligations
  • Material breach

14.2 Termination

Either party may terminate per Order Form terms.

Upon termination:

  • Access ceases
  • Data retention follows contractual and legal obligations

15. Warranties & Disclaimers

LearnFlow is provided “as is” and “as available.”

InzpireU disclaims all warranties, including:

  • Accuracy of AI-generated content
  • Fitness for a particular purpose
  • Guaranteed learning or business outcomes

16. Limitation of Liability (Enterprise)

To the maximum extent permitted by law:

  • No liability for indirect, incidental, or consequential damages
  • Total liability capped at fees paid in the preceding 12 months

17. Indemnification

The Organization agrees to indemnify InzpireU against claims arising from:

  • Customer Content
  • User misuse
  • Violation of laws or third-party rights

18. Compliance with Laws

Each party agrees to comply with all applicable laws, including:

  • Data protection laws
  • Employment and education regulations
  • Export controls

19. Assignment

Neither party may assign this Agreement without consent, except in connection with a merger or acquisition.


20. Governing Law & Venue

21. Amendments

  • Read/write access to user’s selected folder (never full Drive unless explicitly permitted)
Purpose:
  • Store mentorship resources, progress reports, and shared goals
  • Allow mentors/protégés to collaborate on shared docs
Data Use: Files are used only within the mentorship context.
Data Sharing: No Drive files or metadata are shared with third parties.
Retention: Files are stored for the duration of mentorship engagement.
